Hold Harmless Agreement

The Purpose of this HOLD HARMLESS AGREEMENT is to promote Honesty and Responsibility for all involved in this private membership club. CHANGES TO THIS AGREEMENT

AGH8 / Awaken.AGH8.com and its Owner(s), Admin(s) may revise and update this Hold Harmless Agreement from time to time in its sole discretion. All changes are effective immediately when posted. Your continued use of the Website following the posting of the revised Hold Harmless Agreement means that you accept and agree to the changes. ACCOUNT IS VOLUNTARY

EXCLUSIVE NATURE TO RECORD DOCUMENTS IN PUBLIC

AGH8 / Awaken.AGH8.com only serves as the platform for document publishing specifically for the purpose of being able to easily share that document with the appropriate person or entity. AGH8 / Awaken.AGH8.com and its Owner(s), Admin(s)  is not responsible for the validity of any recorded documents nor is it responsible for notifying any person or entity of your posting. It is merely a platform for publishing document(s) and providing a unique URL that can be shared or posted in/on places such as letters, emails, texts, newspapers, public library boards, social media, or other channels for posting document(s).

CONSENT TO PUBLISH RECORDED DOCUMENTS

In the event this happens you agree that you will not hold AGH8 / Awaken.AGH8.com and its Owner(s), Admin(s) liable for any dispute(s), claim(s), or legal issue(s) that may arise from the information contained in your document(s).

RELEASE OF AGH8 / Awaken.AGH8.com

ACCOUNT ELIGIBILITY AND USER REPRESENTATIONS

By creating an account or using AGH8 / Awaken.AGH8.com, you represent and warrant that all information you provide is truthful, accurate, current, and complete.

You further represent and warrant that:

You are at least eighteen (18) years of age; or

If you are under eighteen (18) years of age, you have obtained the permission of your parent or legal guardian to create an account and use AGH8 / Awaken.AGH8.com.

AGH8 / Awaken.AGH8.com is entitled to rely upon these representations and has no independent duty to investigate or verify the accuracy of information provided during registration unless otherwise required by applicable law.

Any false, misleading, or fraudulent information provided during registration or while using AGH8 / Awaken.AGH8.com constitutes a material breach of this Agreement and may result in immediate suspension or termination of the account without notice or refund.

MINORS AND PARENT OR LEGAL GUARDIAN RESPONSIBILITY

Minimum Age and Guardian Consent

If you are under eighteen (18) years of age, you represent and warrant that you have obtained the express permission of your parent or legal guardian to access and use AGH8 / Awaken.AGH8.com.

By permitting a person under the age of eighteen (18) to create an account, access, or use AGH8 / Awaken.AGH8.com, the parent or legal guardian represents and warrants that he or she has read, understands, and agrees to be legally bound by this Hold Harmless Agreement, the Terms of Service, the Privacy Policy, and all other applicable AGH8 / Awaken.AGH8.com policies on behalf of both the minor and the parent or legal guardian.

Assumption of Responsibility

The parent or legal guardian accepts full responsibility for the minor's access to and use of AGH8 / Awaken.AGH8.com, including all documents published, communications made, interactions with other users, purchases, subscriptions, fees, obligations, and any acts or omissions of the minor while using the platform.

The parent or legal guardian further agrees to supervise the minor's use of AGH8 / Awaken.AGH8.com and assumes responsibility for ensuring that the minor complies with all applicable laws and the terms of this Agreement.

Indemnification by Parent or Legal Guardian

The parent or legal guardian agrees to defend, indemnify, and hold harmless AGH8 / Awaken.AGH8.com, its Owner(s), Administrator(s), Moderators, Staff, Volunteers, Trust, Partners, Affiliates, Members, contractors, licensors, and service providers from and against any claims, demands, actions, liabilities, damages, judgments, losses, costs, and reasonable attorneys' fees arising out of or relating to the minor's use of AGH8 / Awaken.AGH8.com or the minor's violation of this Agreement or applicable law.

Right to Suspend or Terminate

AGH8 / Awaken.AGH8.com reserves the right, in its sole discretion, to suspend, restrict, or terminate any account if it believes a user is under eighteen (18) years of age and appropriate parental or legal guardian consent has not been obtained or cannot be verified.

REPRESENTATION OF AGE AND PARENTAL AUTHORIZATION

Every person creating an AGH8 / Awaken.AGH8.com account represents and warrants that all information provided during registration, including age and parental or legal guardian authorization, is true, accurate, and complete.

If a user indicates that he or she is under eighteen (18) years of age, that user further represents and warrants that he or she has obtained the permission and authorization of a parent or legal guardian to use AGH8 / Awaken.AGH8.com and to accept this Agreement.

AGH8 / Awaken.AGH8.com is entitled to rely upon these representations and has no independent duty to investigate, verify, or confirm a user's age or whether parental or legal guardian permission has actually been obtained.

If any representation regarding age or parental authorization is false or misleading, the user accepts full responsibility for that misrepresentation. AGH8 / Awaken.AGH8.com reserves the right to suspend or terminate the account immediately upon discovering or reasonably believing that any age or parental authorization information is inaccurate or false.

AGH8 / Awaken.AGH8.com COMMUNITY STANDARDS

The purpose of AGH8 / Awaken.AGH8.com is to provide a platform where Members may publish and share documents and information. Every Member agrees to conduct themselves respectfully, lawfully, and responsibly.

Respect for Others

Members shall treat all other Members, Users, Visitors, Staff, Volunteers, Administrators, and Owners with civility and respect. Disagreements are permitted; harassment and abuse are not.

Prohibited Conduct

The following conduct is prohibited and may result in immediate suspension or permanent termination of an account without notice or refund:

Threatening, encouraging, planning, or promoting violence toward any person or group.

Harassing, intimidating, bullying, stalking, or repeatedly targeting another individual.

Encouraging or assisting another person to engage in self-harm, suicide, or unlawful conduct.

Posting content intended to cause emotional distress, psychological harm, or unnecessary fear.

Defamatory statements knowingly presented as fact.

False impersonation of another person or organization.

Fraud, identity theft, forgery, or deceptive practices.

Publishing private or confidential information without lawful authorization.

Posting unlawful, obscene, abusive, or discriminatory material.

Using AGH8 / Awaken.AGH8.com to facilitate criminal activity or violate applicable law.

Interfering with the operation, security, or integrity of AGH8 / Awaken.AGH8.com.

Creating multiple accounts to evade suspension or disciplinary action.

Personal Responsibility

Each Member is solely responsible for the content they publish and for every communication or interaction they have with another person through or because of AGH8 / Awaken.AGH8.com.

Members acknowledge that opinions, documents, statements, and publications made by other users are solely the responsibility of those users and do not represent the views of AGH8 / Awaken.AGH8.com.

User Interactions

Members understand that AGH8 / Awaken.AGH8.com cannot verify every user's identity, intentions, truthfulness, or conduct.

Any interaction between Members, whether online or offline, is undertaken voluntarily and at each Member's own risk.

AGH8 / Awaken.AGH8.com assumes no responsibility for disputes, disagreements, emotional distress, reputational harm, financial loss, physical injury, mental injury, or damages arising from interactions between Members or third parties.

Reporting Violations

Members are encouraged to report conduct that violates these Community Standards.

AGH8 / Awaken.AGH8.com reserves the right, but assumes no obligation, to investigate reported violations, remove content, suspend accounts, permanently ban Members, preserve evidence, or cooperate with law enforcement or legal authorities when deemed appropriate.

Enforcement

AGH8 / Awaken.AGH8.com may, in its sole discretion and without prior notice, remove content, restrict access, suspend or terminate accounts, or deny future access for conduct that violates these Community Standards or that AGH8 / Awaken.AGH8.com reasonably believes threatens the safety, integrity, or operation of the platform.

AGH8 / Awaken.AGH8.com is under no obligation to provide an explanation for any moderation decision, account restriction, suspension, or termination.

No Guarantee of Safety

While AGH8 / Awaken.AGH8.com may establish rules and moderation policies, no website or online service can guarantee the conduct of its users.

Each Member acknowledges that they assume all risks associated with interacting with other users and agrees that AGH8 / Awaken.AGH8.com, its Owners, Administrators, Staff, Volunteers, Trust, Partners, Affiliates, and Members shall not be liable for the independent actions, omissions, statements, or misconduct of any other person using or accessing the platform.

USER CONDUCT, THIRD-PARTY ACTS, AND ASSUMPTION OF RISK

User Responsibility: Each Member is solely responsible for his or her own words, actions, conduct, communications, published documents, comments, messages, interactions, and behavior while using AGH8 / Awaken.AGH8.com, its websites, applications, subdomains, services, or communicating with other Members or third parties.

No Responsibility for Acts of Others: I acknowledge and agree that AGH8, its Owner(s), Administrator(s), Moderators, Volunteers, Staff, Trust, Partners, Affiliates, Members, and Users do not control the actions, statements, conduct, intentions, or behavior of other Members, Users, or third parties. AGH8 / Awaken.AGH8.com does not guarantee the honesty, accuracy, character, intentions, safety, or legality of any person's conduct or any information published through the platform.

Assumption of Risk: I understand and voluntarily assume all risks associated with interacting with other Members, Users, or third parties, whether such interactions occur online, by telephone, electronically, by mail, through social media, or in person. These risks include, without limitation, disagreements, harassment, offensive language, defamation, emotional distress, intimidation, threats, fraud, identity misrepresentation, reputational harm, financial loss, property damage, bodily injury, psychological injury, mental anguish, or death caused by the acts or omissions of another person.

Release for Third-Party Conduct: I agree that AGH8, its Owner(s), Administrator(s), Moderators, Volunteers, Staff, Trust, Partners, Affiliates, and Members shall not be liable for any injury, loss, damage, claim, demand, liability, expense, or cause of action arising from or relating to the conduct, statements, communications, publications, omissions, negligence, intentional acts, criminal acts, or unlawful acts of any Member, User, visitor, or other third party.

No Duty to Protect or Intervene: I acknowledge that AGH8 has no legal duty to monitor every communication, publication, or interaction between Members or Users and assumes no obligation to investigate, prevent, mediate, resolve, or protect me from the acts, omissions, statements, threats, or misconduct of another Member, User, or third party. AGH8 may, but is not required to, remove content, suspend accounts, report conduct to law enforcement, or take any other action in its sole discretion.

Hold Harmless and Indemnification for Third-Party Claims: I agree to defend, indemnify, and hold harmless AGH8, its Owner(s), Administrator(s), Moderators, Volunteers, Staff, Trust, Partners, Affiliates, Members, successors, and assigns from and against any and all claims, demands, damages, liabilities, judgments, settlements, losses, costs, and reasonable attorneys' fees arising out of or related to (a) my conduct, (b) my communications or published content, (c) my interactions with another Member, User, or third party, or (d) any claim brought by another person arising from my use of AGH8.

No Liability for Self-Harm or Harm to Others: I understand and agree that AGH8, its Owner(s), Administrator(s), Moderators, Volunteers, Staff, Trust, Partners, Affiliates, Members, and Users shall not be responsible or liable for any act of self-harm, attempted self-harm, suicide, attempted suicide, emotional distress, mental injury, physical injury, violence, assault, harassment, abuse, threats, intimidation, or other harmful conduct committed by any Member, User, or third party against themselves or against another person. Each individual remains solely responsible for his or her own decisions, actions, and conduct.

Reporting Misconduct: Members are encouraged to report conduct believed to violate applicable law or AGH8 policies. Submission of a report does not create a duty, contractual obligation, fiduciary duty, or guarantee that AGH8 will investigate, remove content, suspend an account, or take any specific action.

USER CONTENT AND PUBLISHER RESPONSIBILITY

Sole Responsibility for Published Content

Each Member acknowledges and agrees that he or she is solely and exclusively responsible for every document, notice, statement, declaration, affidavit, recording, publication, message, comment, image, file, hyperlink, profile, communication, or other content ("User Content") created, uploaded, recorded, published, transmitted, or shared through AGH8.

AGH8, its Owner(s), Administrator(s), Moderators, Staff, Volunteers, Trust, Partners, Affiliates, Members, contractors, licensors, and service providers do not create, edit, verify, investigate, endorse, approve, or guarantee the truthfulness, legality, completeness, or accuracy of User Content.

AGH8 Is a Publishing Platform Only

AGH8 provides technology that allows Members to create, store, publish, and share their own documents. AGH8 acts solely as a neutral technology platform and does not become the author, publisher, editor, speaker, legal representative, or agent of any Member or User.

The opinions, statements, allegations, claims, declarations, or legal assertions contained within any User Content belong solely to the Member who created or published that content and do not represent the opinions or position of AGH8.

Legal Responsibility

Each Member accepts full legal responsibility for all User Content that he or she publishes or distributes using AGH8 / Awaken.AGH8.com.

The Member represents and warrants that any User Content submitted:

does not knowingly contain false or misleading statements;

does not violate the rights of another person or entity;

does not infringe any copyright, trademark, trade secret, privacy, publicity, or other legal right;

does not violate any applicable law or court order; and

is submitted at the Member's own risk.

Third-Party Claims

If any lawsuit, arbitration, investigation, subpoena, governmental action, demand, complaint, or legal proceeding is brought against AGH8 / Awaken.AGH8.com arising out of or relating to a Member's User Content or conduct, that Member agrees to defend, indemnify, and hold harmless AGH8 / Awaken.AGH8.com and its Owner(s), Administrator(s), Moderators, Staff, Volunteers, Trust, Partners, Affiliates, Members, successors, and assigns from all resulting claims, liabilities, damages, settlements, judgments, costs, and reasonable attorneys' fees.

No Duty to Monitor

AGH8 / Awaken.AGH8.com has no obligation to review, monitor, verify, fact-check, edit, or remove User Content before or after publication.

AGH8 / Awaken.AGH8.com may, but is not required to, remove, restrict, preserve, disclose, or report User Content whenever it believes such action is appropriate to protect the platform, comply with applicable law, enforce this Agreement, or protect the rights or safety of any person.

No Endorsement

Publication of User Content through AGH8 / Awaken.AGH8.com shall not be interpreted as approval, verification, endorsement, certification, or adoption of that content by AGH8 / Awaken.AGH8.com.

Survival

The obligations contained in this section shall survive the deletion of User Content, the termination of a Member's account, or the termination of this Agreement.

Assumption of Responsibility: I am fully aware that publishing my document(s) online may result in the public finding information about you / me and I hereby accept the consequence(s) and take responsibility, having engaged with AGH8 and All Sub Domain(s), Sub-Domain(s) voluntarily.

Exemption from Liability: I hereby fully and forever discharge and release AGH8 and its Owner(s), Admin(s) from any and all liability, claim(s), demand(s), action(s), and cause(s) of action whatsoever arising out of any damage(s), both in law and equity, in any way resulting from legal, personal, physical, psychological or emotional injuries, distress, or death arising from or in any way related to the [https://www.agh8.com, https://app.agh8.com, https://awaken.agh8.com] including any content, functionality, and services offered on or through [https://www.agh8.com, https://app.agh8.com, https://awaken.agh8.com] profile information, notice(s), bookmark(s), discussion(s), generating of document(s),  recording, publishing and sharing of my document(s). This release from liability also includes loss, damage or injury resulting from the negligence of AGH8 and its Owner(s), Admin(s) from any other cause or causes.

NO LEGAL, PROFESSIONAL, OR FIDUCIARY ADVICE

Technology Platform Only

AGH8 / Awaken.AGH8.com is a private membership platform that provides technology for Members to create, organize, record, publish, and share their own documents and information. AGH8 does not provide legal services, legal representation, legal opinions, legal advice, tax advice, accounting advice, financial advice, medical advice, mental health services, or any other professional services.

No Attorney-Client Relationship

Your use of AGH8 / Awaken.AGH8.com does not create an attorney-client relationship, fiduciary relationship, agency relationship, partnership, joint venture, or any other professional or confidential relationship between you and AGH8 / Awaken.AGH8.com, its Owner(s), Administrator(s), Moderators, Staff, Volunteers, Trust, Partners, Affiliates, Members, contractors, or service providers.

User Responsible for Independent Judgment

All documents, forms, templates, examples, educational materials, discussions, comments, and other information made available through AGH8 / Awaken.AGH8.com are provided solely for informational and publishing purposes.

Each Member is solely responsible for determining whether any document, statement, publication, or action is appropriate for his or her particular circumstances. Members are encouraged to seek advice from qualified licensed professionals whenever legal, financial, tax, medical, mental health, or other professional guidance is needed.

No Guarantee of Legal Effect

AGH8 / Awaken.AGH8.com makes no representation or warranty that any document created, recorded, published, or shared through the platform is legally sufficient, legally effective, legally enforceable, admissible in court, accepted by any governmental agency, recognized by any court, or suitable for any particular purpose.

The legal effect of any document depends upon applicable law, jurisdiction, facts, procedures, and circumstances that are beyond the control of AGH8 / Awaken.AGH8.com.

No Reliance

To the fullest extent permitted by applicable law, AGH8 / Awaken.AGH8.com and its Owner(s), Administrator(s), Moderators, Staff, Volunteers, Trust, Partners, Affiliates, Members, contractors, licensors, and service providers shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from a Member's reliance upon any information, publication, template, discussion, document, or communication available through the platform.

Members acknowledge that laws vary by jurisdiction and change over time. AGH8 / Awaken.AGH8.com recommends consulting qualified licensed professionals before making legal, financial, tax, medical, or other decisions that may affect a Member's rights, obligations, health, finances, or property.

Covenant Not to Sue: I agree not to institute, initiate, or assist the prosecution of any suit, claim or action at law or equity, or otherwise, against AGH8 and its Owner(s), Admin(s) for damages which I or my heirs, executors, administrators, or assigns hereafter may have arising from or in any way related to the  [https://www.agh8.com, https://app.agh8.com, https://awaken.agh8.com] including any content, functionality, and services offered on or through [https://www.agh8.com, https://app.agh8.com, https://awaken.agh8.com] profile information, notices, bookmark(s), discussions, generating of document(s), recording, publishing and sharing of my document(s). This release from liability also includes loss, damage, or injury resulting from the negligence of AGH8 and its Owner(s), Admin(s) from any other cause or causes.

Indemnity: I agree to indemnify and hold harmless AGH8 / Awaken.AGH8.com and its Owner(s), Admin(s), its trust, its partners, and affiliates from any and all losses, claims, actions, or proceedings of any kind which may be initiated by me as a living man or woman, and/or any other living man, woman, person or organization on my behalf against AGH8 / Awaken.AGH8.com and its Owner(s), Admin(s). This indemnification includes reimbursement by AGH8 / Awaken.AGH8.com and its Owner(s), Admin(s) for any and all legal costs and reasonable “legal” fees incurred as a result of such actions.

INDEMNIFICATION

I agree to defend, indemnify, and hold harmless AGH8, its Owner(s), Administrator(s), Moderators, Staff, Volunteers, Trust, Partners, Affiliates, Members, successors, assigns, licensors, and service providers from and against any and all claims, demands, actions, causes of action, liabilities, judgments, damages, losses, costs, expenses, and reasonable attorneys' fees arising out of or relating to:

(a) my use of AGH8 / Awaken.AGH8.com or any of its websites, applications, services, or subdomains;

(b) my account, profile, username, or membership;

(c) any document, notice, publication, statement, comment, message, communication, file, image, recording, or other content that I create, upload, publish, transmit, or share through AGH8;

(d) my interactions or communications with any Member, User, visitor, organization, government agency, or third party;

(e) my violation of this Agreement, any applicable law, regulation, court order, or the rights of another person or entity; or

(f) any claim brought by another Member, User, person, organization, or governmental authority arising from my conduct, statements, publications, communications, omissions, or activities while using AGH8 / Awaken.AGH8.com.

This obligation includes the reimbursement of all reasonable attorneys' fees, court costs, arbitration costs, investigation expenses, settlement costs, judgments, and other expenses incurred by AGH8 / Awaken.AGH8.com in defending against such claims.

This indemnification obligation survives the suspension, termination, cancellation, or expiration of my membership or account.

Waiver of Punitive Damages: I understand and agree that I am waiving and forever abandoning any claims for punitive or exemplary damages against AGH8 / Awaken.AGH8.com and its Owner(s), Admin(s). I voluntarily choose to give up this Right.

ARBITRATION

Arbitration: I agree that any controversy claim against AGH8 and its Owner(s), Admin(s) not released herein, arising out of or relating to my membership/account/user and/or the [https://www.agh8.com, https://app.agh8.com, https://awaken.agh8.com] including any content, functionality, and services offered on or through [https://www.agh8.com, https://app.agh8.com, https://awaken.agh8.com] profile information, notices, bookmark(s), discussions, generating of document(s), recording, publishing and sharing of my document(s), shall be settled by private arbitration in accordance with the rules of the American Arbitration Association, and not by lawsuit or resort to court process (except as the law provides for judicial review of arbitration proceedings). This shall apply to all claims including allegations that there have been wrongful acts or omissions by AGH8 and its Owner(s), Admin(s) either intentionally or otherwise. The arbitrator's decisions may be entered in any court having competent jurisdiction. By clicking the box, Subscribing, Being a Member, Having a User ID, Having a Account, Profile, User Name, User, or having accessed any website, domain, sub domain, sub-domain to  [https://www.agh8.com, https://app.agh8.com, https://awaken.agh8.com] including any content, functionality, and services offered on or through [https://www.agh8.com, https://app.agh8.com, https://awaken.agh8.com], I am agreeing that any issue or claim arising out of my use of AGH8 and its Owner(s), Admin(s) shall be decided by neutral private arbitration. I am giving up my Right to a trial by a Jury or Judge.

MISCELLANEOUS

Governing Law: I understand that this Agreement shall be construed and governed by the laws on North Carolina State, without the United States, and that it cannot be modified unless in writing and signed by both or all parties.

Entire Agreement: I understand that this Agreement contains all the promises and agreements between parties with regard to the release of AGH8 and its Owner(s), Admin(s) and I acknowledge there are no oral or written promises or agreements outside of this Agreement regarding the release of AGH8 and its Owner(s), Admin(s).

Binding: I hereby expressly recognize that this Agreement is binding, and I have released any and all claims against the indemnified parties resulting from my use of AGH8 and its Owner(s), Admin(s), including any claims caused by the negligence of the indemnified parties.

Account Access & Support: I understand that this Agreement removes all AGH8 / Awaken.AGH8.com Living Men & Women/Man & Woman, Its Creators, Supporters, Support Staff, Staff, Volunteers, Owner(s), and Admin(s) from any obligation to assist, advise, provide support for any recorded, registered, user name, user account, living man, men, woman, women who have access to  [https://www.agh8.com, https://app.agh8.com, https://awaken.agh8.com] including any content, functionality, and services offered on or through [https://www.agh8.com, https://app.agh8.com, https://awaken.agh8.com] and I agree I can be Banned, Removed, UnRecorded, Deleted at the discretion as such with no explanation and no discloser. 

I HAVE CAREFULLY READ THIS AGREEMENT AND UNDERSTAND ITS CONTENTS. BY BEING A MEMBER, HAVING A USER ID, HAVING A USERNAME / USER NAME, ACCESSING OR REVIEWING THIS WEBSITE AND ANY OF THIS WEBSITES SUB DOMAINS/SUBDOMAIN/SUB-DOMAIN/SUB-DOMAINS, I AM AWARE AND CONSENT TO DIGITALLY SIGNING THIS AGREEMENT OF MY OWN FREE WILL. I RESERVE ALL MY RIGHTS NOT WAIVED, WITHOUT PREJUDICE, AND AGREE TO THIS HOLD HARMLESS AGREEMENT, WITHOUT THE UNITED STATES.
